Terms of Use.

1. Agreement

These Terms of Use (“Terms”) constitute a legally binding agreement between you and PT DWIPA MESARI GLOBAL, publishing the Yelku application as Dwipt (“we”, “us”, or “our”), governing your access to and use of the Yelku mobile application, https://yelku.com, related websites, and associated services (collectively, the “Service”). By checking the acknowledgement presented upon first use, tapping Next, downloading, installing, accessing, or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy, including the processing of anonymous spend events described in section 9 from your first qualifying use. If you do not agree, you must not use the Service. We may update these Terms from time to time. Continued use after the date indicated above constitutes acceptance of the then-current Terms. Apple Inc. and Google LLC are not parties to these Terms except as required by their respective store rules; their standard licensed-application and billing terms also apply to downloads and in-app purchases made through their stores.

2. The Service

The Service provides tools that allocate amounts you enter across remaining days or weeks and that record expenditures you choose to log. Output, including leftover figures, is derived solely from information you supply and from settings you select. Features, availability, language, currency presentation, advertisements, and optional paid capabilities may differ by device, operating system, region, store listing, and purchase status. We may modify, suspend, limit, or discontinue any aspect of the Service, including features, pricing displays sourced from a store, and third-party integrations, without liability, except where prohibited by mandatory law. Nothing in the Service is a bank, wallet, payment institution, accountant, or fiduciary.

3. Eligibility

The Service is intended for individuals who have the legal capacity to enter into these Terms. You represent and warrant that you are at least thirteen (13) years of age, or the minimum age of digital consent in your country of residence if higher, and that you are not barred from using the Service under applicable law. The Service is not directed to children. You are solely responsible for ensuring that your use complies with the laws of the jurisdiction from which you access the Service. If you use the Service on behalf of another person or entity, you represent that you have authority to bind that person or entity.

4. License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Service on devices you own or control, solely for your personal, non-commercial use, and solely as permitted by the applicable store. We and our licensors retain all right, title, and interest in the Service, including software, visual design, marks, and documentation. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of the Service except to the limited extent that applicable law prohibits such restriction, or except as permitted by licenses of included third-party components, which are listed in the application under Licenses and remain subject to their own terms.

5. Your content

You are solely responsible for amounts, notes, categories, place names, photographs, and any other information you enter. The Service does not verify accuracy, completeness, or lawfulness of that information. You retain whatever rights you have in on-device history and Cloud backups. You grant us a limited license to process that history solely to operate the consumer Service as you use it, including optional Cloud storage you enable and optional local exchange with devices you pair. Separately, you grant the license in section 9 for anonymous spend events. You represent that you have all rights needed to enter that information and that doing so will not violate any law or third-party right. We may refuse, suspend, or delete Cloud accounts that we reasonably believe abuse, overload, or attempt to compromise the Service.

6. Plus, Cloud, and store billing

Optional paid features may include a one-time unlock billed for the device (“Plus”), including a separate win-back product where offered; a combined Plus-and-Cloud checkout; a Cloud add-on that requires Plus as an auto-renewing monthly or annual subscription; and prepaid Cloud passes whose term is stored on the device. Prices, taxes, availability, and billing cadence are set and displayed by Apple or Google and may vary by storefront. Purchases, restores, refunds, chargebacks, and cancellation of auto-renewing Cloud are handled exclusively through the store account used to buy. Cancel Cloud in that store’s subscription management; manage-subscription controls are also linked from the Plus screen. Deleting the application, resetting the device, or removing a Cloud account does not cancel a store subscription. Except where a store or mandatory law requires otherwise, paid unlocks are non-refundable, non-transferable, and licensed, not sold. We do not receive your full payment-card details. We do not promise that any particular paid feature will remain offered indefinitely.

7. Advertising

If you have not purchased Plus, the Service may display a full-screen app-open advertisement from Google AdMob or other partners when the application returns to the foreground, subject to frequency limits in the software. Advertisements are not generated from the history you log or from anonymous spend events. In the European Economic Area, the United Kingdom, and Switzerland, Google’s consent form may appear before ads are requested; Settings may reopen those choices. On iOS, App Tracking Transparency and an advertising identifier may be used only for ads on the free plan. Apple SKAdNetwork identifiers may be included in the application for ad measurement. Plus, where purchased and recognized on the device, removes those ads. We are not responsible for third-party destinations opened from an advertisement.

8. History on the device and Cloud

History you log (including amounts, notes, categories, places you save, budget updates, optional member names on spends, optional display name, books, and group pairing state) is stored in a local database on the device and is not uploaded for advertising. The operating system may copy that database and preferences into the backup or device-transfer account associated with the phone. Optional Cloud, if you enable it, stores a backup that is encrypted on the device (AES-256-GCM; key derived on-device with PBKDF2) before transmission to api.yelku.com; login sends a derived secret, not your password, and we cannot read that backup without the on-device key. Optional coarse location may be requested once, after any tour, on the first real Add spend. You may remove Cloud or reset the device. We do not provide a file export of your history. Further detail is in the Privacy Policy, which is incorporated by reference.

9. Anonymous spend events and aggregated statistics

From the first expenditure you log after any in-application demonstration data, and from each later expenditure, the Service may create and queue an anonymous spend event if a place name is present or, if that field is empty, if a description or note is present. The event sent to api.yelku.com contains that text (normalized), the amount, the calendar day, a coarse time-of-day slice, the currency, an optional category name, and, if a stored coarse location hash exists, a truncated area code of at most four geohash characters. Events do not include your name, email address, Cloud account, advertising identifier, device identifier, or precise coordinates. Demonstration or tour data is not transmitted. If both the place name and the description are empty, that expenditure does not generate an event. Denying location omits the area code; the remainder of an event may still be sent if such text is present. The application may also request a list of popular place names for the current coarse area (widening the cell if that area is empty). The API host necessarily sees ordinary connection metadata, including IP address, used to operate and rate-limit those endpoints; that metadata is not stored in the event record. Events are used (a) to operate nearby place suggestions in Add spend, and (b) to compile aggregated statistics of spending (including which places, categories, amounts, days, and time slices are common in an area). Aggregates are produced with counting floors or similar measures designed so that an individual cannot reasonably be singled out. We may retain events for as long as reasonably necessary for (a) and (b). You grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, host, reproduce, process, combine, and create derivative works from those events, including compiling, updating, commercially offering, licensing, and selling access to aggregated statistics and related analyses, including via a subscription dashboard, data feed, or similar product for businesses (including retail, consumer packaged goods, restaurants, funds, and other commercial subscribers), especially in markets where card-network data is thin. That commercial product is not part of the Yelku consumer application and will not appear as a dashboard, Settings item, or paid perk inside this application. We do not sell or license a feed of your individual events, your on-device history, or Cloud backups as a list of a person’s spends. We do not sell personal information.

10. Device permissions and third-party services

The Service may request: camera to scan a pairing code and to capture a photo or video used as a background for a spend-report overlay; microphone when you record such a video; photo-library access to pick that background and to save report images; local network, Wi-Fi multicast, Bonjour, and nearby-Wi-Fi permissions to sync a group on the same Wi-Fi (on older Android a location permission may be required by the operating system to scan Wi-Fi, not to track you); and coarse location (low accuracy, including last-known position) for nearby suggestions and event area codes, with a hash stored on the device. Plus spend reports may be shared through the system share sheet, saved to Photos, or emailed via api.yelku.com for that send only. Overlay video is encoded on the device with FFmpeg Kit under LGPL (hardware H.264 where available, otherwise a non-GPL fallback). Switching currency may request a mid-market rate from a third-party host using only the ISO currency codes. The Service relies on Apple, Google (including Play Billing, App Store, AdMob, and consent tooling), geolocation frameworks, and processors identified in the Privacy Policy. Their terms govern their processing.

11. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorized access; interfering with servers, other users, or billing; probing or overloading Cloud or event endpoints; submitting malware; scraping except as allowed by robots rules on public marketing pages; infringing intellectual property; using the Service to commit fraud; or circumventing Plus, Cloud, advertisement, or technical measures. We may investigate and may suspend or terminate access, including Cloud, where we reasonably believe these Terms or law have been violated.

12. No advice; no warranty

LEFTOVER FIGURES AND ANY OTHER OUTPUT ARE INFORMATIONAL ONLY AND ARE NOT FINANCIAL, TAX, ACCOUNTING, INVESTMENT, LEGAL, OR OTHER PROFESSIONAL ADVICE. YOU SHOULD NOT RELY ON THE SERVICE AS A SUBSTITUTE FOR PROFESSIONAL ADVICE OR FOR RECORDS REQUIRED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL NOT BE LOST, INCLUDING IF YOU RESET, LOSE, OR REPLACE A DEVICE WITHOUT CLOUD, OR IF A STORE RESTORE FAILS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY UNITED STATES DOLLARS (US$50) OR THE EQUIVALENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER MANDATORY LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED, OR YOUR NON-WAIVABLE CONSUMER RIGHTS.

14. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless PT DWIPA MESARI GLOBAL and Dwipt, and their officers, directors, and employees, from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or applicable law.

15. Stores

If you download from the Apple App Store, Apple’s Licensed Application End User License Agreement applies to the licensed application as between you and Apple, and Apple has no obligation to provide maintenance or support, is not responsible for product claims, legal compliance, or intellectual-property claims relating to the application beyond what that agreement requires, and you and we acknowledge that Apple and Apple’s subsidiaries are third-party beneficiaries of that license. If you download from Google Play, Google’s terms for the store and Play Billing apply to the purchase transaction. In a conflict between store rules and these Terms concerning billing or the license granted by the store, the store rules control that subject. These Terms govern your relationship with us.

16. Termination

You may stop using the Service at any time and may reset the device copy in Settings. We may suspend or terminate access, including Cloud, immediately if you materially breach these Terms or if we discontinue the Service. Provisions that by their nature should survive (including licenses in sections 4 and 9, disclaimers, limitations of liability, indemnity, and governing law) survive termination. Upon termination the license in section 4 ends. The license in section 9 survives as to events already transmitted. Paid store purchases remain subject to the store’s rules.

17. Governing law

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law rules, except that mandatory consumer-protection rules of your country of residence apply to the extent they cannot be waived. Subject to those mandatory rules, courts located in Indonesia shall have jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If a provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any store terms that apply, are the entire agreement between you and us concerning the Service and supersede prior understandings on that subject. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Service. Failure to enforce a provision is not a waiver.
